Job Title: Company Secretary (CS) – IPO & Compliance
Job Summary
The Company Secretary (CS) will be responsible for managing end-to-end corporate compliance, IPO readiness, and regulatory requirements. The role involves coordinating with key stakeholders such as merchant bankers, legal advisors, auditors, and regulatory authorities to ensure smooth execution of IPO processes and ongoing compliance with applicable laws.
Qualifications
- Company Secretary (CS) – Member of ICSI (mandatory)
- LLB preferred
Experience
- 7–12 years of relevant experience in corporate compliance, SEBI regulations, and IPO handling
- Minimum 1 IPO/listing exposure (SME/Mainboard) is mandatory
Skills & Competencies
- Strong knowledge of SEBI regulations, Companies Act, and listing requirements
- Excellent drafting and documentation skills
- Strong coordination and stakeholder management abilities
- High attention to detail and compliance-oriented mindset
- Ability to manage multiple priorities and deadlines
Compensation
- Salary Range: ₹1,00,000 – ₹2,50,000 per month
Experience Requirements:
Key Responsibilities
- Lead IPO readiness activities, including coordination with merchant bankers, legal advisors, and auditors for DRHP/RHP preparation
- Ensure compliance with SEBI regulations (ICDR, LODR) and listing requirements across NSE/BSE/SME platforms
- Organize and conduct Board Meetings, AGM, and EGM; draft agendas, minutes, and resolutions
- Ensure compliance with the Companies Act, 2013, including ROC filings (AOC-4, MGT-7, PAS-3, etc.)
- Draft, review, and vet legal documents such as Shareholders’ Agreements (SHA), Joint Venture (JV) agreements, and board policies
- Manage pre-IPO fundraising activities, including private placements and preferential allotments
- Handle investor communications, corporate disclosures, and stakeholder engagement
- Maintain statutory registers, records, and corporate documentation
- Coordinate with internal teams (Accounts, Legal, Projects) for compliance-related data
- Ensure compliance with Insider Trading Regulations and manage shareholding pattern filings
- Support corporate governance practices to enhance organizational value
- Liaise with regulatory authorities such as ROC, SEBI, and stock exchanges
- Manage ESOP structuring and compliance (if applicable)
- Monitor compliance calendars and ensure zero non-compliance
- Support post-listing compliance and continuous disclosure requirements
- Handle banking documentation, follow-ups, interest tracking, and bank guarantee (BG) charge tracking
